Image Use and Delivery Agreement

 

This Agreement entered into on August 4, 2000, between Wendy Saunders   located at 2962 Golden Eagle Circle, Lafayette, Colorado  (hereafter referred to as the “Photojournalist”) and ___________________________________________ located at _________________________________________________, (hereafter referred to as the “Client”) for the use of images.

 

Conditions of Agreement:

 

1.       Copyright of Images.    The copyright of all Images created or supplied pursuant to

this agreement remain the sole and exclusive property of the Photojournalist.  There is no assignment of copyright, agreement to do work for hire, or intention of joint copyright expressed or implied hereunder.  The client is licensed the above usage specifications in accord with the conditions stated herein. Proper copyright notice, which reads: © 2000 wen saunders photojournalist, www.wendysaunders.com, must be displayed with the following placement:

 

a)       Images used with other images, not photographed by the Photojournalist, then the placement will be along the side or bottom of the Photojournalist’s Image.

 

b)       When used in a group scenario, and only with other Images photographed by the Photojournalist, the placement is at the end of the page, or bottom of the document.

 

Omission of required notice results in loss to the licensor and will be billed at triple the usage fee.

 

2.    Image Usage.  Usage beyond that defined above requires additional written license from the licensor.

3.          Image Usage Terms.   The use is subject to all terms and conditions hereof.

4.          Time Period.  The time period for the image use will be from August 1, 2000 thru September 1, 2002.

5.          Image Usage Restrictions.   Image use is restricted to the following:

a)       On the official client website and marketing materials, under the supervision of the client.

 

Please read and review attached schedule of images.  Count (rendered by August 20, 2000) should be considered accurate and qualified deemed satisfactory for reproduction if said copy is not immediately received by return mail with all exceptions duly noted.  Your acceptance of this delivery constitutes your acceptance of all items and conditions of this agreement, whether signed by you or not.

WSC IMAGE USE AGREEMENT

            (1)  Images.  “Images” means all viewable renditions furnished by Photojournalist hereunder, whether captured or stored in photographic magnetic, optical, or other medium, whatsoever.

(2) Copyright.  All Images and rights therein, including copyright, remain the sole and exclusive property to Photojournalist.

(3) Liability and Indemnification.  Client assumes insurer’s liability (a) to indemnify Photojournalist from loss damage, or misuse of any images, and (b) to return all images prepaid and fully insured, safe and undamaged, by bonded messenger, airfreight, or registered mail, within sixty (60) days after the first use thereof as provided herein, but in all events (whether published or unpublished) within sixty (60) days after the date of the final licensed use.  Client assumes full liability for its principals, employees, agents, affiliates, successors, and assigns (including without limitation independent contractors, messengers, and freelance researchers) for any loss, damage, delay, in returning, or misuse of the Images.

(4) Images Loss or Damage.  Reimbursement by Client for loss or damage of each original photographic image or scanned image shall bi in the amount of One Thousand Five Hundred Dollar ($1,500), or such other amount set forth next to said item on the attached schedule.  Reimbursement by Client for loss of damage of each other item shall be in the amount set forth next to said item on the attached schedule.  Photojournalist and Client agree that said amount represents the fair and reasonable value of each item, and that the Photojournalist would sell all rights to such item for less than said amount.  Client understands that each original that each original photographic image is unique and does not have exact duplication.

(5) Credit Line.  Photojournalist shall receive credit for all Images as specified on the face hereof.  Client and respective parties shall receive credit for music as specified on the face hereof.

(6) Image Alterations.  Client will not make or permit any alterations, including but not limited to additions, subtractions, or adaptations in respect of the Images, alone or with any other material, except that cropping, and alterations of contrast, brightness, and color balance, consistent with reproduction needs may be made with Photojournalist’s approval.

(7) Indemnification.  Client will indemnify and defend Photojournalist against all Claims damages, costs, and expenses, including reasonable legal fees and expenses, arising out of any use of Images for which Photojournalist furnished no release, or any Images, which are altered by Client.  Unless furnished, no release exists.  Photojournalist’s liability for all claims shall not exceed in any event the total amount paid under invoices issued.

(8)     Client Furnished Materials.  Client assumes full risk of loss or damage to or arising from materials

furnished by Client hereunder and warrants that said materials are adequately insured against such loss, damage, or liability.  Client shall indemnify Photojournalist against all claims, liability, damages and expenses incurred by Photojournalist in connection with any claim arising out of use of said material hereunder.

(9)     Agreement Transfer and Amendments. Client may not assign or transfer this Agreement or any rights

granted hereunder. This agreement binds and rules to the benefit of the Photojournalist, Client, Client’s principals, employees, agents, and affiliates, and their respective heirs, legal representatives, successors, and assigns.  Client and its principals, employees, agents, and affiliates are jointly and severally liable for the performance of all payments and other obligations hereunder.  No amendment or waiver of any terms is binding unless set forth in writing and signed by the parties.  However, the invoice may reflect, and the Client is bound by, oral authorization for fees or expenses, which could not be confirmed in writing because of insufficient time.  This Agreement incorporates reference Article 2 of the Uniform Commercial Code, and the Copyright Act of 1976, as amended.

 

(10)  Jurisdiction.  Except as provided in [11] below, any dispute regarding this Agreement shall be adjudicated in Lafayette, Colorado, under the laws of Colorado.  Client shall pay court costs, Photojournalist’s reasonable legal fees, and expenses, and legal interest on any award or judgment in the event of any award or judgment in favor of Photojournalist.

(11)  Federal Court Jurisdiction.  Client hereby expressly consents to the jurisdiction of the Federal courts with respect to claims by Photojournalist under the Copyright Act of 1976, as amended.
